Terms & Conditions

These Terms & Conditions ("Terms") form a binding agreement between you and TESOL Ministry, 1009 Shellrock Drive, Wake Forest, NC 27587, USA ("TESOL Ministry", "we", "us"), and govern your access to and use of English for Emergencies, including our website, curriculum, downloadable materials, and any related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 13 years old (or the minimum age of digital consent in your country, if higher) to create an account. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at connect@tesolministry.org if you suspect unauthorized use. You must provide accurate information and keep it up to date.

You agree not to:

• Use the Service to violate any law or the rights of others.
• Copy, redistribute, publicly display, resell, sublicense, or create derivative works of the curriculum, illustrations, audio, lessons, or downloadable materials except as expressly permitted.
• Scrape, crawl, or extract content in bulk.
• Attempt to disrupt, probe, or reverse engineer the Service, or bypass any security or access control.
• Impersonate any person or misrepresent your affiliation.
• Upload malicious code or content that is unlawful, defamatory, harassing, or infringing.
• Use the Service to build a competing product or to train machine-learning models without our written permission.

All content on the Service — including but not limited to lesson text, vocabulary lists, phrases, illustrations, audio recordings, PowerPoints, lesson plans, Survival Cards, and the site design — is owned by TESOL Ministry or its licensors and is protected by copyright and other intellectual property laws. Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own learning or, where applicable, for teaching within a licensed cohort.

Downloadable materials (where offered) may be used solely for the internal, non-commercial purpose stated at the point of download. No other rights are granted by implication.

Some features may be free to use; others may require a paid subscription or an organizational license. Pricing, billing frequency, and refund terms will be disclosed at the point of purchase and are incorporated into these Terms by reference. Unless a written order form or subscription page says otherwise, fees are non-refundable except where required by law.

No refunds based on learning outcomes. Language learning depends on many factors outside our control, including your prior language background, time spent practicing, motivation, consistency, learning differences, and the quality of your device, microphone, and internet connection. You acknowledge and agree that we do not guarantee any specific learning outcome, proficiency level, test score, fluency, retention, or ability to communicate in any real-world situation, and that you are not entitled to a refund, credit, or other compensationon the basis that you did not learn as much as you hoped, did not achieve a particular level, or were not satisfied with your progress. We may change pricing prospectively; price changes will not affect the current billing period of an active subscription.

The Service integrates with third-party services (for example, Google Sign-In, Google Translate, and our hosting subprocessors) that have their own terms and privacy practices. Your use of those services is subject to their agreements, and we are not responsible for their acts or omissions.

If you send us feedback, suggestions, or ideas, you grant TESOL Ministry a perpetual, worldwide, royalty-free license to use them without obligation to you.

You may stop using the Service at any time and may delete your account by contacting us. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. On termination, the license in Section 5 ends and provisions that by their nature should survive (including Sections 5, 8, 10, 11, 12, 13, 14, and 15) will survive.

English for Emergencies is an educational language-learning tool. It is not a substitute for professional medical, legal, safety, translation, interpretation, security, disaster-response, law-enforcement, or emergency-response services, and it is not itself an emergency service. Content on the Service (including lesson text, vocabulary, phrases, audio, illustrations, scenarios, Survival Cards, and any AI-generated material) is provided for general educational purposes only and may contain errors, omissions, out-of-date information, or content that is not appropriate to your specific situation, jurisdiction, dialect, culture, or role.

In a real emergency, contact local emergency services immediately. Do not rely on the Service, on any phrase learned from the Service, or on any feature of the Service (including audio playback, voice recording, or translation) to summon help, communicate with responders, warn others, evacuate, administer aid, negotiate, de-escalate a situation, or make any other decision on which safety, health, liberty, or property depends. You are solely responsible for your actions and communications in any real-world situation.

We make no representation, warranty, or guarantee that use of the Service will improve your English, that any phrase or vocabulary item will be understood by any listener, that any translation is accurate, that any scenario reflects real-world protocol in your location, that you will retain what you learn, or that the Service will be effective, appropriate, or available in any particular emergency, incident, deployment, workplace, or context. Learning outcomes vary and are not guaranteed.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, uninterrupted access, error-free operation, or security. We do not warrant that the Service, its audio, its content, or any translation is fit for use in any emergency, safety-critical, medical, legal, or professional context. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you; in those jurisdictions our warranties are limited to the minimum extent permitted by law.

To the maximum extent permitted by law, TESOL Ministry and its officers, directors, employees, volunteers, contractors, licensors, and affiliates (collectively, the "TESOL Parties") will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, data, goodwill, use, savings, or opportunity, arising out of or related in any way to (a) your use of or inability to use the Service, (b) any content on the Service, (c) any reliance you or any other person places on the Service or its content, (d) any communication, action, inaction, injury, illness, death, arrest, detention, property damage, business interruption, mission failure, or other loss or harm occurring before, during, or after any actual or perceived emergency, incident, deployment, encounter, or interaction — whether or not the Service was used in connection with that event, whether the claim is based on contract, tort (including negligence), strict liability, statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Our total aggregate liability for any and all claims arising out of or relating to the Service will not exceed the greater of (i) the amounts you actually paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (ii) US$100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you; in those jurisdictions our liability is limited to the minimum extent permitted by law.

To the maximum extent permitted by law, you, on behalf of yourself, your heirs, spouse, family members, executors, administrators, personal representatives, insurers, and assigns, and any company, organization, employer, sponsor, agency, church, school, non-profit, or other entity that referred you to, sponsored, licensed, or paid for your access to the Service (each a "Related Party"), hereby knowingly and voluntarily release, waive, and forever discharge the TESOL Parties from any and all claims, demands, causes of action, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) of every kind, whether known or unknown, foreseen or unforeseen, arising out of or related in any way to (a) your access to or use of the Service, (b) any content on or omission from the Service, (c) any learning outcome or lack thereof, or (d) any actual or perceived emergency, incident, injury, illness, death, arrest, detention, property damage, or other harm to you, to any Related Party, or to any third party involved in or affected by such incident. You further covenant and agree not to sue, arbitrate against, or bring any claim or proceeding against any TESOL Party in connection with any of the foregoing, and you agree that if you or any Related Party breaches this covenant, you will reimburse the TESOL Parties for their attorneys' fees and costs of defense. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization to this release. This release does not apply to liability that cannot be released as a matter of applicable law (for example, gross negligence, willful misconduct, or fraud where such release is prohibited).

To the extent applicable law (for example, California Civil Code § 1542) would otherwise preserve claims that a releasing party does not know or suspect to exist in their favor at the time of the release, you expressly waive that protection with respect to the released claims.

You acknowledge that emergencies, deployments, cross-cultural encounters, and use of a second language inherently involve risk, that you have chosen to use the Service voluntarily and with full knowledge of these risks, and that you assume all risk associated with your use of the Service and with any reliance you place on English learned through it, whether in an emergency or otherwise.

You agree to defend, indemnify, and hold harmless the TESOL Parties from and against any and all claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your breach of these Terms, (c) your violation of any rights of a third party, (d) any content you submit, or (e) any claim brought by a Related Party or by any third party arising out of or related to an incident, deployment, or emergency involving you.

These Terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws rules. The parties agree to the exclusive jurisdiction of the state and federal courts located in Wake County, North Carolina, USA, for any dispute not subject to informal resolution, except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer residing in a jurisdiction whose law requires application of local consumer-protection law or a local forum, this section does not override those rights.

The Service is operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with local law. See our Privacy Policy for information about international data transfers.

If you believe content on the Service infringes your copyright, send a written notice with the information required by 17 U.S.C. § 512(c)(3) to connect@tesolministry.org or to TESOL Ministry, 1009 Shellrock Drive, Wake Forest, NC 27587, USA.

We may update these Terms from time to time. Material changes will be announced on the site or by email before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance.

By creating an account, ticking a consent box that references these Terms, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms — including the disclaimers in Section 10, the warranty disclaimers in Section 11, the limitation of liability in Section 12, the release and covenant not to sue in Section 13, the assumption of risk in Section 14, and the indemnification in Section 15. If you do not agree, do not create an account and do not use the Service.

These Terms, together with the Privacy Policy, are the entire agreement between you and TESOL Ministry regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
